NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE SERVICE PROVIDER'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO $1000.00 (ONE THOUSAND DOLLARS). THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
Governing Law
This Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law. By using the services provided by the Service Provider, the User agrees to submit to the jurisdiction of New York for any disputes arising out of or relating to these terms or the services provided.
Dispute Resolution
This Dispute Resolution clause outlines the process for resolving disputes arising out of or in connection with the Terms of Service ("Agreement") between Apex Corporate Law PLLC ("Service Provider") and the User ("User").
Notice of Dispute: In the event of a dispute, the party raising the dispute must first notify the other party in writing of the nature of the dispute, providing a reasonable amount of detail regarding the grounds of the dispute. The parties agree to work in good faith to resolve the dispute amicably before resorting to arbitration or litigation.
Mediation: If the parties are unable to resolve the dispute amicably within thirty (30) days of the notice of dispute, they agree to attempt to resolve the dispute through mediation in New York, under the rules of the American Arbitration Association. Each party will bear its own costs in mediation.
Arbitration: If mediation fails to resolve the dispute within sixty (60) days of its initiation, the dispute shall be finally settled by binding arbitration in New York, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if the parties cannot agree, then by an arbitrator appointed by the American Arbitration Association. The decision of the arbitrator shall be final and binding on the parties, and may be entered as a judgment in any court of competent jurisdiction.
Governing Law: This Agreement and any dispute arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
